S CORPORATIONS AND LLC'S
Liability protection can be achieved for business when they have property set up the separate entity in corporate form. Often this corporate structure is in the form of an "S" corporation or a LLC (Limited Liability Corporation.) Each entity has unique tax considerations, but provide liability protection for the individual business owner, when the company acts properly and has maintained the proper corporate structure. Maintaining the corporate minute books and insuring that company continues to act as the "Company" rather than the individual business owners is the keep to business prosperity and limited liability
To form this new corporate structure Articles (of Incorporation – corporate or Organization – LLC) need to be filed with the state; Bylaws or Operating Agreement needs to be written and adopted; there needs to be a memorial of the first Organizational Meeting; Minute books need to be established.
We can help with the creation and filing of all necessary documents with the state – filing in the state which you choose to have your corporate structure set up; establish your Tax ID (EIN Number), and initial statement of information.
Additional services maybe provided that have our office serve as Agent for Service of Process in California, to provide annual minutes to the Company (or on a more frequent basis if need), to serve as General Counsel to the Company, and to file annual Statement of Information for the Company in the states in which the Company does business.
